Your agreement to the terms and conditions and privacy policy, as well as viewing frequently asked questions, is considered as signing an electronic contract between you and Saudi Executive Coaching.

     The beneficiary endorses and agrees that the use of the service, including information sent to or stored by Saudi Executive Coaching, is subject to its privacy policy on https: //secoaches.co/Privacy-policy.

      As part of our commitment to make the website of the “Saudi Executive Coaching” platform distinctive and a place you wish to visit continually, we welcome all your comments on any of the policies, rules, terms, and conditions by contacting us. We provide the services of the “Saudi Executive Coaching” platform according to the following terms and conditions:

1- The Definitions

  In this Agreement, unless the context requires otherwise, the following terms shall have the meanings indicated to them, and references to the singular shall include plural and vice versa:

“Site” or “Website” or “Platform” or ” Saudi Executive Coaching” or “we” or “us” or “our” or “ownership pronoun” or “service provider “: refers to the platform and/or the website of “Saudi Executive Coaching” in the Kingdom of Saudi Arabia, and all individuals authorized by us to manage the website.

“User” or “you” or “addressee’s pronoun” or “beneficiary” or “customer” or “client”: refers to every person who visits or uses the Site in any way, such as accessing the website then browsing and/or downloading all or part of the available information, and/or uses the Services or tools provided by the website by any means.   

“Agreement” or “Contract” or “Terms and Conditions”: refers to this document including its terms and conditions, privacy policy, and any special agreements took place between the website and any one of the customers/users, which may be presented in the form of a message, conversation, or otherwise. In addition to the information and content of the services available through the website and any other instructions or conditions available through our services, to which all users are obliged to comply, as their commitment to the signed in writing contracts.

“Privacy Policy”: refers to the privacy policy of the platform and/or the website of Saudi Executive Coaching.

“Service Providers”: Any third party that Saudi Executive Coachingmay use or engage to perform all or part of its activities in accordance with the Terms of Use of this agreement.

“Lecturer” or “Coach”: refers to any coach or lecturer contracted by Saudi Executive Coaching and provides any of the services or sessions and qualification programs specialized in coaching in life skills through the Website. 

The International Coaching Federation (ICF):  is a global organization that seeks to develop and enhance the field of personal and professional coaching and aims to raise the level of professional standards in this field, and it provides support and continuous education for the professional trainers/coaches.

(Level 1): refers to the qualification for the first level in coaching, and it aims to cover the fundamental competencies of coaching according to the International Coaching Federation’s methodology.

(Level 2): refers to the qualification for the second level in coaching, and it aims to cover the advanced competencies of coaching and focus on enhancing the coaching skill of the participant, according to the International Coaching Federation’s methodology.

“Services”: Any of the services offered by the Saudi Executive Coaching on the “Website “.

Saudi Executive Coaching’s website” or “the website” or “site” or “platform”: refers to the webpage of the website and all pages, links and tools derived from it. And the website of Saudi Executive Coaching can be accessed through the following link https://secoaches.co.

“Annexes\Attachments to the Agreement”: refers to the content of the Saudi Executive Coaching’s website which published through the main page of the website, sub-pages, via e-mail, via mobile or through our social media pages, which includes a description of services, information, instructions, illustrations, and other content published through the website, as well as any complementary contracts to this agreement, which are considered as integral part of this agreement. 

“Session”: refers to any meeting between “the Client” and “the Coach” through the system and the tools of the Website and/or Saudi Executive Coaching for the purpose of providing “the Services”.

“Annulment of the Agreement”: It is the request to terminate the agreement by the sole discretion of either party due to the other party’s failure to fulfill its obligations, and the annulment result is reverting the parties to the state they were in before the contract.

“Parties to the Agreement”: refers to all individuals who are subject to the terms and conditions stipulated in this Agreement, including their rights and obligations.

“Laws” or “Regulations”: refers to the applicable regulations\legal systems in the Kingdom of Saudi Arabia.

2- The Obligations of the Saudi Executive Coaching in implementing the qualification programs Level 1 & Level 2

1. Saudi executive coaching commits to implement the “Level 1” or “Level 2” program according to the details and schedules determined  by the company and announced through its official website or through other platforms which have an agreement with Saudi executive coaching to implement these qualification programs, and Saudi executive coaching will carry out the implementation of the qualification programs through agreements and contracts with certified lecturers, considering the quality standards set by the International Coaching Federation (ICF).
2. In the event of any delays in the schedule of the “Level 1” or “Level 2” programs for any reason beyond the previously scheduled dates on the website, Saudi executive coaching commits to rescheduling the dates of the “Level 1 or Level 2” programs with the consent of the beneficiary or the client, in which that the new dates be compatible with the beneficiary or the client. 
3. Saudi executive coaching commits to provide specific means of communication with the beneficiary, such as social media platforms, phone numbers, and e-mail, to respond to all inquiries of the beneficiary related to the Level 1 or Level 2 program.  

3- The Obligations of the beneficiary or the client in the qualification programs Level 1 & Level 2

1. The beneficiary is obligated to attend the full hours (the entire duration) of the qualification program in which he enrolled in, as  well as to perform all the tasks and activities required from him in the program to the fullest, and the actual attendance rate of the beneficiary in the program must not be less than 75% of the hours specified for the program, and It is not permissible to grant the beneficiary a certificate of attendance for the “Level 1” or “Level 2” program until after completing 100% attendance for the hours of the “Level 1” or  “Level 2” program. And this can be achieved through watching the recorded videos, provided that the beneficiary pass the subsequent quizzes for those lectures, and in case the beneficiary does not comply with the attendance rate prescribed in this clause, he is not entitled to claim a certificate of attendance for the “Level 1” or “Level 2” program or claim a refund of the fees for the qualification program, without any responsibility or liability on the part of the Saudi executive coaching.  
2. The beneficiary is solely responsible for his physical, mental, and emotional well-being, as well as his decisions, choices, actions, and interactions with the lecturer. And the beneficiary understands that the qualification that will be provided to him in the “Level 1” or “Level 2” program is not psychological therapy and does not replace the psychological therapy if it is necessary, and it does not prevent, cure, heal, or treat any mental disorder or medical condition, and is not considered as a “cognitive behavior therapy” session.  
3. The beneficiary endorses that the qualification in the “Level 1” or “Level 2” program encompasses a comprehensive range of aspects of his life, including the areas of work, financial matters, relationships, education, and entertainment. Based on this, the beneficiary realizes that determining how to deal with these aspects, integrating the principles of qualification in these areas, and implementing choices is his own responsibility without any responsibility or liability on the part of the Saudi executive coaching.
4. The beneficiary acknowledges that the qualification in the “Level 1” or “Level 2” program does not involve the diagnosis or treatment of mental disorders as specified by the Saudi Psychiatric Association, and that the qualification should not be used as a substitute for consultation, psychological therapy, psychological analysis, mental health care, drug addiction treatment, or other professional counseling from professionals or specialists. If the beneficiary is currently under the care of a mental health or psychological specialist, it is recommended that he immediately inform the mental health care provider of the nature it and extent of the relation between it and the qualification agreed upon between him and the Saudi executive coaching and that without any responsibility or liability on the Saudi executive coaching,

4- The relationship between Saudi executive coaching and the client or the beneficiary

Saudi executive coaching pledges for itself, its contractual lecturers for the “Level 1” or “Level 2” program, and its work team; to maintain the ethics and standards of conduct set by the International Coaching Federation (ICF), and it is recommended that the beneficiary review the ICF Code of Ethics and applicable standards of conduct.

The beneficiary acknowledges that to enhance the qualification relationship, he/she must communicate honestly with the lecturers certified by the Saudi executive coaching in the “Level 1” or “Level 2” program, and to be open to feedbacks, comments, assistance, and to create time and energy for the full participation in the program. 

Neither party to this agreement can modify this agreement, cancel it, or waive, sublicense, assign, or transfer to a third party the content of this agreement, in whole or in part, unless the other party explicitly agree to such changes through an official or electronic letter\document signed by both parties and clearly stating their intention to make the intended changes.

Both parties warrant and acknowledge that signing this agreement and fulfilling their obligations as stipulated therein does not violate, conflict with, or lead to a violation of any kind to any agreement, system, regulation, law, judicial judgment of any court, judgment issued by an arbitration court, or any commitment which they are a party or bound by it, and does not conflict with local and international provisions and controls.

This Agreement deemed to be all that has been agreed upon between the Parties, and hereby all the previous negotiations and agreements prior to its conclusion shall be canceled.

 According to what is known, there are no undisclosed actions, pending or threatening event, orders, situations, circumstances, or conditions that conflict with the execution of this Agreement or affect the ability of either party to fulfill its obligations under this Agreement.

5- The legal nature of the agreement 

1. This agreement, including the terms, conditions, and privacy policy, constitutes a complete and comprehensive electronic contract for all rights and obligations, and it stands as s final agreement between the website and the users\clients, replacing any prior agreements. 

And each user endorses that he did not rely on any previous documents, confirmations, or information other than those stipulated in this agreement.

2. This Agreement shall not prejudice any agreements, correspondence, notifications, notices, or any other agreements to which Saudi executive coaching is a party and confirms it as an agreement. Such agreements are complementary to the provisions of this Agreement, and in case of conflict with any of the provisions of these agreements, terms, and conditions, these agreements shall apply in their entirety if they are subsequent to this Agreement or Its latest updates as a special agreement between the website and the user, and it does not fall within the scope of  the agreements any individual correspondence that the user sends to the platform without confirming it as an agreement on the part of the platform.
3. This agreement is a legally binding contract that cannot be challenged for invalidity, denial, or cancellation by any of the users bound by its provisions, and this agreement holds all its legal effects against all users from the date of its acceptance whether it was explicit or implicit by continuing to use the platform.
4. This agreement is subject to continuous modification and updates; therefore, Saudi executive coaching has the right to add any additional terms and conditions to this agreement, change, modify, or update any of the existing terms and conditions, and the user is bound by these new terms from the date of their endorsement. 
5. All laws, regulations, decision, and all binding documents issued by the competent authorities in the Kingdom of Saudi Arabia shall be an integral part of this agreement if they are peremptory legal texts that may not be agreed to be violated by the individuals or the facilities, and the user is bound by them as his commitment to the provisions of this agreement.

6- The access to the platform’s services

We provide the services of the Saudi executive coaching platform technically with the help of specialists in different fields for the purposes of providing the various services, content, designs, and softwares related to Saudi executive coaching platform in a technical manner, making it easier for the user to benefit from our services.

The provision of our services requires continuous updating and maintenance. Consequently, our services may be temporarily suspended from time to time. in such cases, you will not be able to access the website, and there may be delays, malfunctions, or other technical issues may occur that hinder your use of the platform.

 The platform services are available electronically and primarily depend on the availability of the internet service. Therefore, you will not be able to access the website if you lack internet service, fail to pay the internet subscriptions, or the presence of public local or international malfunctions on the internet.

The access to the website requires the use of electronic devices capable of receiving internet services and accessing the websites. The platform does not guarantee that our services will work on all devices used to access the website, and this is attributed to the to the user’s choice.

To ensure access to our Services and secure the devices used to access the Platform, the user must secure the devices against viruses or malware.

7- The membership registration on the website 

1. The user must register with accurate and truthful data, expressing his true identity, and not with the intent of deception or abuse.
2. The user must provide us with the required data according to our registration forms, and that this data should be accurate, complete, and user-specific, and the handling of this data is subject to the privacy policy of the Saudi executive coaching platform and website.
3. The use of illegal or others’ names, or any names that violate the rights of others, including the terms “Platform” and/or Saudi executive coaching is prohibited. It is also prohibited to use names with the intent of deception, showcase fictitious projects, engage in fraudulent activities, or use any illegal names.
4. It is prohibited to provide incorrect, inaccurate, false, illegal, or third-party data or whose purpose is to mislead the platform, and the user is legally responsible for any data he provides to us through the website before all governmental and non-governmental agencies\authorities.
5. It is prohibited to submit any illegal, forged, unofficial, or expired documents. The user must renew these documents whenever they expire, and he\she is legally responsible for any illegal documents provided by him\her through the platform before all governmental and non-governmental agencies\authorities.

8- Consent and Digital Signature

Your use of the platform or the website of Saudi executive coaching requires your agreement to the terms of this agreement. Since the services are provided electronically and that this document is electronically executed through  the platform, the electronic signature approved by the  Saudi executive coaching platform is considered valid, endorsed and productive for its legal effects, and it is used as evidence before all parties, entities and the others, and the parties to this agreement abide by it and take the place of the written signature and it shall be used in all transactions, obligations, and rights resulting from this agreement. Therefore, any of the following shall be considered an electronic signature on this agreement, replacing your handwritten signature, as follows: 

1. The explicit or implicit agreement to the terms and conditions and privacy policy. 
2. The usage of the website in any form or the continued usage.
3. The registration of membership through the website and/or providing any content, data, or documents through it. 
4. The utilization of services or any transaction conducted through the platform.

9- The rights of the Saudi executive coaching

The Saudi executive coaching has the right to modify or terminate the service for any reason and without prior notice at any time.

The Saudi executive coaching has the right to refuse to activate the service to any person and for any reason at any time.

Any form of verbal or written abuse (including threats of mistreatment or retaliation) by any beneficiary of Saudi executive coaching, employee of Saudi executive coaching, member or officer will result in the immediate termination of the agreement/contract.

10- Our limits of liability

1. The beneficiary agrees and understands that Saudi executive coaching shall not be liable for any direct, indirect, incidental, special, consequential, or fatal damages. This includes, but not limited to, damages resulting from failure to complete the program, failure to pass the ICF exam, or the client’s inability to complete the qualification program, its requirements, or its merits, or the inability to use the services provided by us.
2. The beneficiary or the user agrees to indemnify Saudi executive coaching, lecturers, agents, employees, or suppliers for any breach of the beneficiary of these terms of use or the documents referred to, or his violation of any system, law, or any public right. 
3. The Saudi executive coaching does not guarantee the occurrence of any malfunction in service delivery beyond its control or due to emergency or force majeure circumstances. And Saudi executive coaching is committed to taking all necessary and reasonable steps to address and remedy the situation.
4. Saudi executive coaching does not guarantee that the results of using the Service will be accurate or consistent.
5. Saudi executive coaching does not guarantee that the quality of any educational materials, services, workshops, online lectures, written materials, or materials of other service providers purchased by the customer or obtained through us will meet the customer’s expectations or that any errors in the service will be corrected.
6. We provide our Services, as it is available, without any Pledges or guarantees of any kind, whether express or implied, relating to the use of the website Services other than those expressly stated in this Agreement.
7. The Saudi executive coaching platform does not provide any guarantees that this website, its servers, or the e-mail sent will be free of viruses or other harmful components. The Saudi executive coaching platform also does not provide any guarantee, or that defects will be corrected. Also, the services of the website may be unavailable from time to time due to maintenance, repair, or development activities.
8. The Saudi executive coaching platform does not provide any guarantee that the information requested by the user from the website will always be available, or that the service will be error-free.
9. The use or reliance on the information received or accessed by the user through the Saudi executive coaching platform it is entirely at the user’s risk, as the Saudi executive coaching platform  does not provide any data or guarantees about  the accuracy, completeness, or credence of any content, information, programs, or texts, graphics, links or communications provided through the Platform, or that the operation of the website will be error-free, uninterrupted or free of charge.  
10.  The user endorses that the Saudi executive coaching platform is an online-based service, and despite its utmost to maintain and keep information secure, it cannot guarantee the continuous safety of the information received or transmitted by the user while using the platform. The nature of the Internet requires that the website be subject to data corruption, interception, unavailability, or delay.
11. The Saudi executive coaching platform cannot confirm or verify that each user of the platform is indeed the person he claims, despite taking all precautions and conducting authentication actions in accordance with the provisions of this agreement.
12. You agree to indemnify the Saudi executive coaching platform, waive its liability, and defend it, its  officials, agents, service providers, other partners, and employees from and against all claims, demands, or liabilities arising out of or due to your use of the Saudi executive coaching platform, or because your violation of these terms and conditions or infringement the rights of other users of the  Saudi executive coaching platform.
13. The Saudi executive coaching platform may at any time modify, suspend, or discontinue the services of the website without sending a notice to you, and the Saudi executive coaching platform may stop your use of the website’s services if you violate these terms and conditions, or if you misuse the services of the Saudi executive coaching platform from our point of view.  
14. The Saudi executive coaching platform excludes from its guarantees, terms, and conditions any financial losses, distortion of reputation, and any special damages arising from your misuse or inability to use the platform, and that the website does not bear any responsibilities or claims in such cases.
15. You agree to release the Saudi executive coaching platform from any liability regarding any disputes, claims, costs, damages, attorneys’ fees, or any direct or indirect loss arising to any party because of an act performed by users of the platform, and you also permanently waive in accordance with the applicable laws any claim in this regard.

11- Waiver and Entire Agreement

  If the Saudi executive coaching doesn’t exercise or enforce any right or condition of the Terms of Use shall not be deemed as a waiver of that right, and  your use of the Service shall be subject to  the Terms of Use (the entire agreement)  between Saudi Executive Coachingand the User, superseding any prior agreements between you and Saudi Executive Coaching(includes, but not limited to, previous versions of the Terms of Use, oral agreements, or initial communications).

12- The Intellectual Property

All intellectual property rights provided, and the content provided during workshops, educational lectures, educational materials, their attachments, and everything related to them belong to Saudi Executive Coaching, and no customer is allowed to trade, publish, or share them online with any other party without obtaining written consent of Saudi Executive Coaching.

13- The Subscription and Payment Policy 

1. The user must pay through the website directly and should not access or pay through intermediary pages or applications to ensure the security of his electronic payment data.
2. An administrative fee may be charged for the payment of fees, in such case the user shall bear the value of the administrative fees and any fees imposed by the card issuers used to pay through the platform.
3. Any amounts or fees paid by the user outside the platform’s established system will not be considered, and the user will be obligated to pay the fees as a debt until the website receives them.
4. The platform has the right at any time to update this policy without obtaining the consent of any of the users of the platform, and the user must review this agreement before making any payment through it.
5.  The method of paying the cost of subscription to the “Level 1” or “Level 2” program, as explained in detail on the website of Saudi Executive Coaching, and it can be either a one-time full payment or multiple installment payments as per the chosen program (two or three installments). And the payment can be made through the electronic payment gateway or bank transfer. 
6.  The beneficiary is obligated to pay the value of the fees imposed on his enrollment in the “Level 1” or “Level 2” program and any other fees required, including, but not limited to, fees related to benefiting from the program’s services. The beneficiary pledges to pay these costs and financial obligations to the Saudi Executive Coachingaccording to the due dates indicated by “Saudi Executive Coaching” On its website. The payment system is either in one payment or in installments, as explained by Saudi Executive Coaching. Therefore, you must check the payment systems, applicable fees, and due dates through the website of Saudi Executive Coaching before contracting for one of the “Level 1” or “Level 2” programs or benefiting from one of the services provided by “Saudi Executive Coaching”.  
7. In case of “Saudi Executive Coaching” agreed to receive paying the payments installments (on their due dates as described in this agreement) and the beneficiary’s failure to comply with the payment schedule as outlined in this agreement, Saudi Executive Coaching has the right to refrain from granting the beneficiary a certificate  of attendance at the qualifying  program “Level 1” or “Level 2” or to refrain from granting the beneficiary the contracted service, as well as Saudi Executive Coaching has the right  to prevent  The beneficiary of completing the program, and Saudi Executive Coachinghas the right to resort to  the judiciary to claim compensation.
8. The parties to the Agreement endorse that they have no ignorance as to the value due to each party, and neither of them may request the annulment of this Agreement based on the existence of ignorance.
9. The beneficiary must write a valid credit card information on the payment page, to pay all financial obligations due until the end of the program, and the beneficiary will not obtain a certificate of the program attendance until all fees are fully paid unless otherwise stated, and all payments must be in Saudi currency (Saudi Arabian Riyals).
10. The subscription fees are paid in advance, the invoice is issued within (30) days and the payment is made in installments (all these dates are considered as the “invoice release date”), and the fees are written on the  invoice which will be sent to the account holder via the email written on the payment page, and users have (14) days to address and settle any issues related to the program fee invoices or services provided.
11. If installment payments are chosen, each installment must be paid at the beginning of each month. Failure to pay on time gives the Saudi executive coaching has the right to withdraw the client from the program.

14- The Cancellation and refund policy for the Level 1 or Level 2 program

In case that the beneficiary wanted to cancel the contract for the “Level 1” or “Level 2” program in  accordance with the terms contained in this agreement, and want the refund of any amounts paid by him before the start of the “Level 1” or “Level 2” program, the beneficiary agrees that the process of refunding the actually paid amounts to “Saudi Executive Coaching” for the “Level 1” or “Level 2” program as explained in this clause without any liability on “Saudi Executive Coaching”.  The refund will be as follows:

1. If the beneficiary requests cancellation and refund before the start of the “Level 1” or “Level 2” program by 30 days, 25% of the paid amounts will be deducted in favor of the “Saudi Executive Coaching”. 
2. If the beneficiary requests cancellation and refund before the start of the “Level 1” or “Level 2” program by 15 days, 50% of the paid amounts will be deducted in favor of the “Saudi Executive Coaching”. 
3. If the beneficiary requests cancellation and refund before the start of the “Level 1 or Level 2” program by 7 days or after the program has started, the beneficiary is not entitled to a refund of any amounts paid to the first party for the “Level 1 or Level 2” program under this agreement, and the entire paid amount will be deducted in favor of the “Saudi Executive Coaching”. 

15- The Termination or suspension of the benefit of the Level 1 or Level 2 program

1. The purpose of this agreement ends with the conclusion of the “Level 1” or “Level 2” program or upon the completion of the service contracted by the beneficiary with the website of “Saudi Executive Coaching”.
2. When either party cancels the Services for any reason:

• “Saudi Executive Coaching” will cease providing the beneficiary with services, and he\she will no longer be able to access his\her account on the educational platform.
• Any outstanding balance due to Saudi Executive Coaching resulting from payments due up to the termination date, will immediately become due and fully payable, and your account on the Educational Platform will be suspended.
• If the program end date arrives and there are still outstanding fees payable to “Saudi Executive Coaching” that the beneficiary has not paid, a one final invoice will be sent via email, and after paying the invoice in full, no further fees will be collected from the beneficiary.

3. Fraud and Deception: Saudi Executive Coaching has the right to suspend or terminate the beneficiary’s enrollment in the program if there is suspicion of involvement in embezzlement-related activities concerning the services provided by the “Saudi Executive Coaching” and take any other legal action if necessary. 

16- The Acceptable Use Policy 

1. The services of the “Saudi Executive Coaching” platform are available in the Kingdom of Saudi Arabia, and you acknowledge and agree that you are bound by all the terms and conditions stipulated in this agreement, regardless of the country you belong to, access the website through, or receive the site’s services on its territory.
2.  The user of the “Saudi Executive Coaching” platform pledges  to ensure accuracy when entering the information required  from him to enter it on the website, and the user is responsible for regularly reviewing this information for the purpose of correcting, modifying or renewing it whenever new information is available, provided that he keeps all data and documents indicating this, and this is done by contacting us through the website.
3. All information disclosed by the user of the “Saudi Executive Coaching” platform must be  true, up-to-date, accurate, and express  the company he represents and be identical to what is required in  our registration form, if the user provides inaccurate, imprecise, unsynchronized, or incomplete information through the “Saudi Executive Coaching” platform, or if we have reasonable grounds to suspect that this information is not accurate, precise, synchronized, complete, or does not comply with the agreement, without prejudicing any other rights under this Agreement or the law.
4. The website should be used for legal purposes, and it is prohibited to exploit the website for illegal or unlawful purposes or contrary to the goals and aspirations of the platform.
5. The user is obligated to follow all instructions issued by the administration of the “Saudi Executive Coaching” platform regarding the use of the platform’s services, and in the event of a violation, the platform has the right to take all measures it deems appropriate.
6. The user is obliged to notify us if he\she discovers any illegal use of the site’s services, or any transactions prohibited under this agreement or under applicable regulations\systems.

17- Third Parties

1. The use of the “Saudi Executive Coaching” platform may be associated with the provision of services or content from third parties, which are not under our control. Therefore, you acknowledge the existence of other terms, conditions, and privacy policies governing your use of services and content from third-party entities. 
2. In providing our services, third parties such as banks contributing to money transfers, commissions, and platform fees may assist us. Such services are subject to the terms of those entities. Therefore, to benefit from these services, you will be subject to the terms of those entities. 
3. We may engage other service providers to technically provide the website services and enable your access twenty-four hours a day, seven days a week. This includes hosting service providers, and we retain our databases on servers provided by the hosting service provider, and you authorize us to deal with them on your behalf to retain your data.

18- The Granted Licenses

1. You grant us the right to use your information for the purpose of providing services through the website and to authenticate data with relevant authorities. This includes, but is not limited to, name, mobile number, email, company information you represent, and other information and documents that you provide to us.
2. We provide the services of the website under the license system, and thus, using the website, providing services, or benefiting from them does not grant you any ownership, partnership, profits, or similar rights with the platform. The site remains exclusively owned by us.
3. We license you to use the services of the website whenever available, in accordance with our vision and approval. By committing to the terms of this Agreement or any other service terms, as well as your payment of any fees if requested, “Saudi Executive Coaching” grants you a limited, non-exclusive, non-transferable, and non-sublicensable license to access the non-commercial use of the Platform Services. 
4. The license granted by the website does not include any rights to sublicense the use to others, resell the website, or any commercial use of any of our services or its contents, nor does the license grant you any copyright to the information available through the website for the benefit of others, or any use of data extraction tools, or automated data extraction software or techniques, or any similar data collection and extraction tools.
5. You are not permitted to reproduce or create an identical copy of this   platform, copy, sell, resell, visit this platform, or any part of it, or use it differently for commercial or non-commercial exploitation purposes in violation of this agreement without obtaining express written consent of Saudi Executive Coaching.
6. You are not allowed to use any meta tags or any descriptive marks or any other visible or hidden text within the website’s technologies that exploit the name of the “Saudi Executive Coaching” platform, its trademarks, or any of its other logos without the express written consent from the platform.
7. You are not allowed in any form to publish any links to other websites or applications through the website or its services that include harmful, malicious software, spyware, or other unauthorized, pornographic, or illegal files, or to send or resend any of that through the messaging feature or any other available means on the platform and its affiliated platforms or those contracted with. 
8. Visitors and users of the website can provide their ideas, suggestions, comments, questions, and any other information as long as it does not contain illegal information, infringe on privacy, violate intellectual property rights, or harm others’ rights in any other way. 
9. In all cases, we license you to use the services and the website legally only, and it is prohibited to use the website for any illegal purposes, and the licenses granted by us terminate if you do not comply with these terms of use or any other established terms.
10. We license you to use the rights granted to you under this Agreement only, and any rights not explicitly granted to you under this Agreement cannot be used by you without obtaining written approval from us. 

19- The Legal Liability

1. Both (Service Provider, Client) acknowledge that the relationship that arises between them is legally a “contractual relationship”, in which each party is bound by its obligations under this agreement.
2. The user is legally responsible for maintaining the use of the “Saudi Executive Coaching” platform with all seriousness and credibility, and the user is obligated to compensate for any losses or damages that may be incurred by the website due to any unlawful use. 
3. You agree not to use the “Saudi Executive Coaching” platform, or any service provided through its website in an illegal, fraudulent, or socially unacceptable manner, as determined by “Saudi Executive Coaching”. You also agree not to send any messages characterized by racial discrimination, containing insults, offensive language, explicit or obscene images, or generally deemed inappropriate.
4. The “Saudi Executive Coaching” platform, its officials, agents, service providers, other partners, and its employees will not be legally liable towards you or any other party for any direct, indirect, consequential, incidental, special losses, or any other costs arising from or related to these terms and conditions or the “Saudi Executive Coaching” platform, as well as the platforms contracted by “Saudi Executive Coaching”.
5. The user is obligated to protect “Saudi Executive Coaching”, its employees, representatives, agents, and to defend and indemnify them against any losses resulting from any claims related to the site or arising from the user’s actions, representatives, contractors, or agents.
6. You pledge that you will notify “Saudi Executive Coaching” if there are any posts, materials, or transactions that appear to violate our terms and conditions.
7. You are legally responsible if you engage in any act that would violate the systems of maintaining the confidentiality of the platform’s information and data or disclose or use any data or information for any reasons, or actions not related to the “Saudi Executive Coaching” platform. 
8. You are legally responsible if you engage in any act that imposes or may impose (from our perspective) an unjustifiable burden on our infrastructure and operational policy.

1. You are legally responsible if you intervene or attempt to intervene to influence the course of work on the platform.
2. You are legally responsible if you modify or distribute any content on the website, as well as the content of the platforms contracted by “Saudi Executive Coaching” or violate the sanctity of copyright or trademarks in any way.
3. You are legally responsible if you violate any laws, provisions, regulations, guidelines, the rights of others, or any of our policies.
4. You must comply with all applicable local laws and regulations in the Kingdom of Saudi Arabia regarding your use of the Platform.
5. If you violate any of the terms of this agreement, “Saudi Executive Coaching” has the right to recover any amounts owed by you, as well as any losses or damages caused by you, and the legal fees. “Saudi Executive Coaching” also has the right to take legal action or resort to the competent courts to file a criminal or civil case against you as deemed appropriate by the platform.
6.  If you violate any of the terms of this agreement or engage in any form of misconduct towards the platform, its management, service providers, clients, users, or visitors through any means of communication or media, including damaging personal reputation or the reputation of the commercial entity, you bear all legal responsibilities, and we have the right to take all legal actions against you and claim all necessary compensations.

Twenty: Transfer of Rights and Obligations

1. The platform and its owning entity have the right to transfer all our rights outlined in this agreement to any other person or entity without requiring the consent of any of the website users. All parties commit to fulfilling their obligations under this agreement towards the assignee as soon as they are notified of the transfer, and the assignee has the right to take all legal measures against the user who fails to fulfill their obligations under this agreement. 
2. None of the users of the website has the right to transfer any of their rights or obligations under this agreement or arising from its execution without obtaining written consent from the platform. Any agreement between you and any other individuals that involves relinquishing any of your rights or obligations under this agreement is deemed null and void.

21- The Amendments

1. “Saudi Executive Coaching” will publish a general notice on the website to inform the users of any updates made to this document.
2. The updates we make to this agreement will be applicable from the date of its approval and adoption by us within this document, and they will be applied with a direct impact to all the services provided or utilized and your legal relationship with the platform.
3. In case of your continuous using to website after amending and updating this agreement, this implies your explicit consent to all the updates outlined in this agreement, and your acceptance to continue the contractual relationship between you and the website according to the new terms, and if you do not agree to the updates, you must immediately stop using the platform.

22- The Communication

1. When you use any of the “Saudi Executive Coaching” platform’s services, send us an email, or communicate with us via live chat, you are communicating electronically with us, and you agree to receive electronic communications from us, and we will contact you through email, mobile phone, live chat messages, or through other services of the “Saudi Executive Coaching” platform.
2. Consent to the use of electronic records: Concerning the terms of service, you may have the right to obtain certain records from the “Saudi Executive Coaching” platform or our affiliated companies, such as contracts, notices, and written communications. To facilitate your use of the platform and its services, you grant us a license to provide these records to you electronically instead of providing them in paper form.
3. Based on the preceding paragraph, you agree that all agreements, notices, notifications, and other communications we provide to you electronically fulfill all legal requirements as if these communications were in writing and they are in their place in the production of their legal effects.
4. The “Saudi Executive Coaching” platform requires your consent during the registration process to send you emails or through other social media to inform you of any changes, features, promotional activities, or new products added to the platform.
5. If you decide at any time that you do not want to receive promotional emails, you can contact us through the Platform. However, in this case, we do not guarantee that you will receive complete information about the services.
6. Any notifications required to be notified to the “Saudi Executive Coaching” platform under this agreement must via email to the email address specified on the platform’s pages.

23- The Annulment of the Agreement

We have the right to annul this agreement for the user under the following circumstances: if it is proven that the user has violated any paragraph or clause of this agreement, while preserving all our rights to claim compensation for the damages resulting therefrom, or in the case the user breach the commissions, fines, or compensation owned to us, or if he\she fail to fulfill any obligations stipulated in this agreement without taking substantial measures to remedy the breach, or if the user cannot document any information he\she has provided to us, or if We have determined at any time that the user’s activity may cause him or other users legal disputes, or in the case of the platform’s activity has stopped, or the activity of those responsible for managing the platform has stopped. In all cases, the annulment takes effect immediately from the time of committing the violation, without the need for warning, excuses, or judicial claim, while the “Saudi Executive Coaching” platform retaining all its legal rights in compensation.

24- General Terms and Conditions

1. The Gregorian calendar is the primary and accepted calendar for all transactions resulting from the execution of this Agreement, and the number of days in each month will be determined according to the concerned month at the Gregorian calendar.
2. The electronic signature is considered valid, produces legal effects, and is accepted and admissible before all parties, and both parties to this agreement commit to and acknowledge the electronic signature, which stands in lieu of their handwritten signatures in all transactions, commitments, and rights arising from this agreement.
3.  The parties mutually agree not to be held responsible for any delay or failure to fulfill any of the obligations stipulated in this agreement due to reasons, events, or matters beyond their control, falling within the legal concept of force majeure. 
4. If any provision of this Agreement becomes invalid, illegal, or unenforceable, the legality and enforceability of the other provisions will not be affected in any way by such provision.
5. If any judicial authority requests any data, information or files provided by either party through the website, the website will provide this content to the competent court based on the statement issued by it.

25- The Governing Law and The Jurisdiction

1. These terms and conditions and everything related to them are interpreted according to the principle of good faith in the execution of the agreements, and in accordance with the current legal systems in the Kingdom of Saudi Arabia.
2.  Both parties have the right to settle disputes amicably if any dispute or disagreement arises that may arise from the implementation, interpretation, nullification, or termination of this agreement, and it is also entitled, if the will of the parties agrees, arbitration can be pursued instead of resorting to litigation, using accredited arbitration centers in the Kingdom of Saudi Arabia.
3. The courts of the Kingdom of Saudi Arabia shall have the jurisdiction to hear any judicial dispute relating to this Agreement or to interpret its terms in accordance with the rules of jurisdiction stipulated in the legal systems of the Kingdom of Saudi Arabia.

26- The Confidentiality

1. The parties to this Agreement pledge on behalf of themselves, their partners, subordinates, and their work team, to maintain the complete confidentiality of the information related to the implementation of this Agreement that they exchange among themselves regarding their communications, relationships, and sources, and they shall not disclose or reveal this information except to those involved in this work or with the mutual written consent of both parties. 
2. “Saudi Executive Coaching” pledge on behalf of itself, the lecturers it contracts with for the “Level 1” or “Level 2” program, as well as all the services provided by “Saudi Executive Coaching” website, the subject matter of this agreement, and its employees, to maintain the confidentiality of the personal information of the beneficiary (client) and not to disclose it, so the company is committed to maintaining the highest level of confidentiality for the private information that is shared during the sessions. The sharing of information is limited to business-related topics and will only be shared with relevant stakeholders such as the Chairman of the Board, The head of Human Resources, and lecturers for business development purposes.
3. The beneficiary is obligated to maintain the confidentiality of the content and curriculum of the “Level 1” or “Level 2” program the subject matter of this agreement and not to share it with anyone except with the approval of “Saudi Executive Coaching”, and in case of Failure of the beneficiary to comply with this clause, It will be permissible for “Saudi Executive Coaching” to sue the beneficiary, and claim compensation for damages caused to the company by the beneficiary.
4. The relationship of qualification stipulated in this clause, in addition to all information (documented or oral) that the client shares with  the lecturers as part of this relationship, is bound by the principles of confidentiality set forth in the ICF Code of Ethics, and “Saudi Executive Coaching”, as a general rule, not to disclose any information related to the client without the written consent from the client and not to disclose the name of the client without his consent.
5. The following cases is deemed to be an exception to the confidentiality of the Beneficiary’s personal information, and the information that shall not to be Confidential information: (a) was in the possession of the lecturer prior to its submission by the Beneficiary; (b) is generally known to the public; (c) is obtained by the lecturer from a third party without breach of any obligation to the Client; (d) is independently developed by the lecturer without using or referring to the client’s confidential information; (e) Information that the lecturer is required to disclose by the law, a lawfully issued subpoena, or by court order; (f) The disclosed information to the lecturer, and as a result of such disclosure, the recorder reasonably believes that there is an imminent or potential risk of danger or harm to the client or others; (g) Information involving illegal activity.
6. The beneficiary or customer pledges to maintain the platform’s secrets, and both of them is liable against us for any breach of the platform’s confidentiality, or any transactions, services, data, or information available to specific parties within the platform. 
7. The beneficiary is obligated to refrain from disclosing any data related to the operation of the website to third parties, whether for free or not. This includes the mechanisms of the website’s operation or the method of managing the services, which are disclosed exclusively or limited to any of the parties to this agreement.
8. The beneficiary is obligated to maintain the confidentiality of all the data which related to the details of the transactions through the platform, and not to use them in any way, and is contractually and legally responsible for any illegal or unauthorized use of this data.

27- The Language

This agreement is drafted in both languages Arabic and English, and the Arabic language is the language adopted for the interpretation and implementation of this agreement. All the correspondence related to this agreement is in Arabic as well as English. 

      In the event that you or the site translates it into any other language and a conflict occurs between the text in Arabic and the translated text, the Arabic text is adopted and preferred over the translated text, and it is considered valid before all government and non-governmental agencies, the courts that have the jurisdiction, and third parties \ others.

28- The Notifications

1. All notifications required to be notified by the website to any of its users will be notified to the user through notifications on the website or through the contact methods provided by the user during the registration process on the platform, and the user is presumed to be aware of the notice as soon as it is sent by the platform.
2. If there are notifications that the user is required to inform to the platform, the user must notify the website of them through the officially approved contact methods by the platform management, which are:

29- The Termination

1. This agreement is a contract between the platform and the user. and the platform or the user has the right to terminate this agreement at any time while all legal effects that resulted during its validity period remain in force between all parties.
2. The agreement is limited to the subscription period if the user chooses one of the qualifying programs or coaching sessions specified through the platform, and the termination is subject to the terms and policies approved in this agreement.
3. The termination of this Agreement, for any reason, shall not prejudice the acquired rights of either party to the other, nor affect the provisions that are expressly or implicitly agreed that they will remain in force and continue in force even after the termination or expiry of the Agreement.
4. The termination should not result in the loss of any financial rights of the platform or the client, including fees, subscriptions, compensations, fines, costs, payments, etc., and the user remains bound by them even after the expiration or termination of this agreement for any reason.

30- The Referral Policy and Rewards System

1. “Saudi Executive Coaching” regulates a rewards system that encourages its clients or non-clients to refer new clients to benefit from its services, in return for a rewards system that will be specified in this item in detail, and the person who refers new customers to “Saudi Executive Coaching” is called “the referrer”, and the new customer is called the “Referred” to the company.
2. clients of “Saudi Executive Coaching” and subscribers to the “Level 1” or “Level 2” program are entitled to benefit from the rewards system provided by the company, in the case where the client subscribed to the “Level 1”  or   “Level 2” program refers new clients to benefit from the company’s services, the client (referrer)  is granted a cashback reward of (300 Saudi riyals)  for referring the first new customer  to “Saudi Executive Coaching”, and If the Referrer refers a second or third client to the company, the Referrer will benefit from a coaching session for each new referred client, with a maximum of three clients.
3. Non-clients of “Saudi Executive Coaching” can also benefit from the rewards system by referring new clients to benefit from the company’s services, in exchange for a coaching session for each new client referred to benefit from one of the services of “Saudi Executive Coaching”, with a maximum of three clients.
4.  In all cases, the referrer, whether a client or non-client “Saudi Executive Coaching”, is not entitled to benefit from the rewards system approved by “Saudi Executive Coaching” until after the new client (referred to the Company) makes the first payment of subscription to the program or service that he subscribed to with “Saudi Executive Coaching”.
5. Regarding the referral of new clients by companies and institutions, “Saudi Executive Coaching” approves a rewards system for companies and institutions, deducting 10% of the value of the program or service that new client referred to “Saudi Executive Coaching” subscribe to by companies and institutions.
6. It is prohibited for a person, company or institution (Referrer for new clients to “Saudi Executive Coaching”) to use any of the fraudulent methods or referring fictitious persons to “Saudi Executive Coaching”, and if it is proven that the person, company or institution used any of the fraudulent methods, or that the new clients are fictitious persons, “Saudi Executive Coaching” has the right to withdraw the granted rewards to the person, company or institution (Referrer for new clients to “Saudi Executive Coaching”) and take any legal action deemed appropriate.
